These Terms of Use govern your access and use of the Services Team Scout provides.

Welcome to Team Scout Inc., a leading provider of team and organizational relationship management software ("Scout", “Team Scout,” “we,” “us” or “our”). We empower coaches, parents, players (both youth and adult), and sports organization administrators worldwide with tools and services to manage their organizations and sports activities. The Team Scout Services are made available to you by Team Scout Inc., and its affiliated companies (including successors and assigns).

These Terms of Use set out the agreement between you and Team Scout regarding how you can use the Team Scout Services, and what responsibilities you and Team Scout have to each other. These Terms of Use contain important information regarding your legal rights. BY USING THE TEAM SCOUT SERVICES, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF USE AND OUR PRIVACY POLICY, which describes how we collect, use, and share information from or about you when you use the Team Scout Services and is incorporated herein by reference. Please read them carefully.

1. GENERAL

1.1 General. We provide a number of online and mobile products and services that you can view, access, and use via our websites, mobile apps, software, and other online products and services (including all Content therein, the “Team Scout Services” or “Services”). These include, without limitation, team, league, tournament, or other pages and applications hosted on or provided by Team Scout that are subject to and governed by these Terms of Use. Team Scout Inc. is based in Delaware at [Address]. We operate worldwide across a number of sports, and are launching our product initially in the South Korean market before expanding globally. Our brands, products, and services may evolve over time, and you acknowledge that any reference to specific brand elements may change as we update the Services.

1.2 Acceptance of the Terms of Use. You may access the Team Scout Services in accordance with these Terms of Use. You represent that you have read, understood, and agree to be bound by these Terms of Use in connection with your access to and/or use of any of the Team Scout Services. If you do not agree to these Terms of Use, you may not access or use the Team Scout Services. By using the Team Scout Services, you will be deemed to have agreed to these Terms of Use.

1.3 Eligibility.

1.3.1 The Team Scout Services are for users who are 13 years of age or older and reside in countries where we operate, including but not limited to the United States and South Korea. If you are under 13 years of age in the U.S. (or under 14 in South Korea or as otherwise required by applicable law), or under the applicable age of majority or digital consent threshold in your jurisdiction, you must have the consent and supervision of a parent or legal guardian to use the Team Scout Services. We encourage use of appropriate parental controls or filtering services to assist in limiting access to material that may be harmful to minors. If you are under the required age without appropriate consent, you must immediately discontinue use of the Team Scout Services.

1.3.2 Team Scout, without any liability to you and in its sole discretion, may suspend your Account at any time and require proof that you meet any eligibility criteria under these Terms of Use. Failure to comply and/or provide proof will result in closure of your Account without any further liability on the part of Team Scout (including refunds of any monies held within your Account).

1.3.3 By accessing or using the Team Scout Services, you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo or other applicable trade restrictions; and (ii) your access to and use of the Team Scout Services will comply with applicable export control and economic sanctions requirements.

1.4 Additional Terms. In addition to the terms of these Terms of Use, and depending on what type of user you are, other terms may also apply to your access and use of the Team Scout Services:

1.4.1 Organization Terms & Privacy Policy. Where you are accessing or using the Team Scout Services because you are a User of an Organization (such as a club, team, league, or federation), you acknowledge and agree that your access and use will be subject to any designated Terms & Conditions imposed by the Organization. Any personal information uploaded or provided by the Organization to Team Scout in connection with the Team Scout Services will be subject to the Organization’s Privacy Policy, to the extent the Organization acts as a data controller or data custodian.

1.4.2 Team Scout Privacy Policy. Where you are accessing or using the Team Scout Services, you acknowledge and agree that Team Scout’s collection and use of information from or about you when you use the Team Scout Services shall be governed by our Privacy Policy. You also agree that, where relevant, with regard to any information or documents you upload to Team Scout that are required for eligibility determinations (including birth certificates, medical waivers, proof of vaccination, or other sensitive data), you are specifically directing Team Scout to share that information with the relevant Organization and all additional entities required to review it to determine eligibility, subject to each recipient’s privacy policy and compliance with laws such as South Korea’s Personal Information Protection Act (PIPA) and other global privacy regulations.

1.4.3 Payment Processing and Affiliates. Where you use payment features, such as purchasing subscriptions or services from Team Scout or from Organizations through the Team Scout Services, you acknowledge that payment processing may be handled by Stripe or another designated third-party payment processor. Your transactions are subject to both these Terms of Use and the terms and policies of the payment processor.

1.5 Modifications. YOUR ACCESS TO OR USE OF THE TEAM SCOUT SERVICES IS GOVERNED BY THE THEN-CURRENT TERMS OF USE. We may modify these Terms of Use from time to time in our sole discretion and such modification shall be effective once posted to this site or made available through the Services. Your continued access or use of the Team Scout Services after we post changes to these Terms of Use will be deemed acceptance of these Terms of Use as modified. We encourage you to check back here for any such changes from time to time.

1.6 Account Registration. You may be asked to provide registration information in order to access some of the Team Scout Services. You are responsible for providing correct, current, and complete information and maintaining the accuracy of such information. You agree that we may take steps to verify the information you provide. The Team Scout Services and any usernames or passwords you use to access the Team Scout Services (“Passwords”) are for personal use only. You are solely responsible for maintaining the security of your Passwords and you agree to immediately notify us of any unauthorized use of your Passwords and/or other security breaches related to the Team Scout Services. You may terminate your account for any reason or no reason. We have the right to disable your Account or password at any time for any reason, including if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms of Use or if we know or suspect that anyone else knows or is using your credentials.

2. DEFINITIONS

The Team Scout Services are aimed at the following categories of users:

Organization: The organization is the sports governing body, federation, league, team, club, or similar entity that accesses or uses the Team Scout Services.

Administrator(s): The person(s) nominated by the Organization that has control over the use and overall administration of the Organization’s use of the Team Scout Services and includes anyone else who is given administrative access.

Users: End users of any of the Team Scout Services. This includes account holders, athletes/players/participants (if over the applicable age threshold or with parental consent), parents and guardians, members, coaches, sports officials, Administrators, volunteers, managers, or any other person who views, accesses, and uses the Team Scout Services or could otherwise be an end-user of the Organization.

Organization Data: Any Personal Data that relates to the Organization’s Members that Team Scout processes in relation to Team Scout’s provision of the Team Scout Services and that is not Team Scout Data. For avoidance of doubt, Organization Data does not include Team Scout Data.

Team Scout Data: Information you provide to us directly and independently when using the Team Scout Services, including but not limited to contact and account registration information, demographic information, interests and preferences, transactional and membership information, user-generated content (“UGC”), audio and video, research and feedback data, and information we collect for business-to-business relationships. Team Scout Data also includes information we collect automatically from you and/or your device, such as device information, connection and usage data, and geolocation data.

3. SERVICES

3.1 Availability of Services. We grant you a limited, non-sublicensable, non-transferable license to access and use the Team Scout Services for your personal use, and only in accordance with these Terms of Use. Except as we specifically agree in writing, no element of the Content may be used or exploited in any way other than as part of the authorized Team Scout Services made available to you. To the extent the Team Scout Services make Content available for download, we grant you the right to download such Content onto the device on which you use the Team Scout Services in compliance with these Terms of Use. We may change, suspend, or discontinue any or all of the Team Scout Services at any time for any reason without notice or liability to you. We make no representations or warranties about the quality, accuracy, or availability of the Team Scout Services, including, but not limited to blackouts, location or device-based limitations or compatibility, or Content-viewing windows.

3.2 Wireless Features. The Team Scout Services may offer certain features that are available via a mobile network, such as the ability to receive messages, upload content, or download applications to your wireless device (collectively, “Wireless Features”). If you use any Wireless Features, you agree that we may send communications to your device and that your carrier’s normal rates and fees apply.

3.3 Devices and Charges. You are solely responsible for obtaining all devices and software, internet connectivity, mobile service, and other services needed for your use of the Team Scout Services, and you will be solely responsible for all charges related to them. Your carrier or internet service provider may charge fees or impose restrictions for certain Wireless Features.

4. CONTENT

4.1 Team Scout Content. The Team Scout Services contain or reference material that is owned by us as well as third parties, including but not limited to software, images, videos, text, website designs, and templates, and audio (collectively, “Content”). As between Team Scout and you, Team Scout owns or is licensed to use all right, title, and interest in and to the Team Scout Services and Content, including all intellectual and proprietary rights. Except as expressly stated in these Terms of Use, nothing shall be deemed to convey to you any right, title, or interest in or to the Team Scout Services or Content. To the extent the Team Scout Services include an explicit authorization with respect to certain Content (e.g., the right to repost on social media), we grant you a limited, revocable license to post or upload such Content onto your personal social media accounts without modification and in accordance with these Terms of Use or any other terms associated with such Content.

4.2 User-Generated Content (UGC). The Team Scout Services may include opportunities for you or others to upload, post, publish, publicly display, transmit, or otherwise distribute (“Upload”) text, files, images, photos, audio, video, clips, sounds, musical works, works of authorship, or any other content or materials on or through the Team Scout Services (“User-Generated Content” or “UGC”). You are solely responsible for any UGC you Upload and the consequences of doing so.

Except as may be explicitly requested by Team Scout for particular programs, you should not Upload content that you do not have the rights to or that you do not wish to license to Team Scout. You retain ownership of your UGC. However, by Uploading UGC, you hereby grant to Team Scout a perpetual, non-exclusive, irrevocable, royalty-free, sub-licensable through multiple tiers, fully paid up, and transferable worldwide license to use, reproduce, transmit, adapt, prepare derivative works based upon, publicly display, publicly perform, exhibit, modify, edit, distribute, incorporate in other works, and otherwise exploit, in whole or in part, any UGC (including your name, image, likeness, and voice as they appear in that UGC) in any manner and any media now known or hereafter developed. You agree that Team Scout may monetize UGC and that you are not entitled to any compensation.

You represent and warrant that you own or have the necessary rights to Upload the UGC and that it does not violate any third-party rights or applicable laws. You agree that we have no obligation to host or serve any UGC and that we may remove UGC in our sole discretion.

4.3 Public Nature of Team Scout Services. You acknowledge that UGC may be publicly accessible and that no fiduciary relationship exists between us and you. We make no guarantees to remove UGC from the Services or third-party platforms and may retain UGC in backup files even after account termination.

4.4 Infringement Policy. If you believe that any UGC is defamatory or infringes your intellectual property, please send a written notice to [Email] with the details required under our Infringement Policy. We reserve the right to remove UGC in compliance with applicable laws, including U.S. Copyright Act provisions.

5. RESTRICTIONS; USE OF THE TEAM SCOUT SERVICES

5.1 Prohibited Actions. You may not engage in activities that violate the law or these Terms of Use. This includes, but is not limited to, Uploading unlawful or infringing material, harassment, impersonation, distributing viruses or malware, or engaging in hateful, obscene, or otherwise objectionable behavior. If you believe any Content or UGC violates these Terms of Use, please report it to [Email].

5.2 Investigations and Monitoring. Team Scout may, but is not obligated to, examine, record, copy, and disclose your use of the Team Scout Services as necessary to satisfy any law, regulation, or governmental request. We reserve the right to take corrective action, including modifying or removing UGC, warning users, suspending accounts, or taking legal action, without liability.

5.3 Termination and Suspension. Termination, suspension, or cancellation of your Account or access to the Team Scout Services (“Termination”) shall not affect any right or remedy we may be entitled to. We may Terminate your Account at any time, with or without notice, and upon Termination, all rights granted to you under these Terms of Use will immediately revert to us without refund, unless required by applicable law.

6. REPRESENTATIONS & WARRANTIES

You represent and warrant that: (i) you shall comply with all applicable laws and regulations; (ii) if you are under the age of majority, you have the consent of your parent or guardian to enter these Terms of Use and use the Team Scout Services; (iii) you own or have the right to Upload UGC; (iv) Team Scout’s use of UGC does not violate third-party rights; (v) you have obtained all necessary consents required by law to Upload UGC and permit Team Scout’s uses; and (vi) you will pay all royalties or fees owed to any person by reason of UGC you Upload.

7. THIRD-PARTY SERVICES & THIRD-PARTY PLATFORM PROVIDERS

7.1 Third-Party Services. The Team Scout Services may provide links to third-party websites, widgets, software, or services (“Third-Party Services”). These are provided as a convenience, and we are not responsible for them. Your dealings with Third-Party Services are solely between you and those third parties.

7.2 Third-Party Platform Providers. If you access the Team Scout Services through a third-party platform (e.g., Apple App Store, Google Play), those platform providers are not parties to these Terms of Use and have no obligation to provide maintenance or support. Your rights and obligations while accessing the Team Scout Services via these platforms are governed by those platforms’ terms and policies.

8. DISCLAIMERS AND DISPUTES

8.1 Disclaimer of Warranties. We make no representations or warranties about the Team Scout Services with respect to their accuracy, timeliness, reliability, availability, or completeness. THE TEAM SCOUT SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM SCOUT, ITS PARENT, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSEES, AND LICENSORS (COLLECTIVELY, THE “TEAM SCOUT PARTIES”) DISCLAIM ANY AND ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

8.2 Limitation of Liability. IN NO EVENT WILL THE TEAM SCOUT PARTIES’ AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE TEAM SCOUT SERVICES OR THESE TERMS OF USE EXCEED THE AMOUNT (IF ANY) ACTUALLY PAID BY YOU TO TEAM SCOUT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANY TEAM SCOUT PARTY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER THAT RESULT FROM YOUR USE OF OR INABILITY TO USE THE TEAM SCOUT SERVICES. This applies even if we have been advised of the possibility of such damages and regardless of the legal theory asserted.

8.3 No Injunctive Relief. You acknowledge that any damages you incur are not irreparable and are insufficient to entitle you to an injunction or other equitable relief restricting availability of the Team Scout Services or the Content.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Team Scout Parties from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms of Use; (ii) your UGC; and/or (iii) your use of the Team Scout Services.

10. DISPUTE RESOLUTION

10.1 Disputes to Be Heard in Court. Team Scout and you agree that any complaint, dispute, or disagreement arising out of or related to these Terms of Use or the Team Scout Services shall be resolved in federal or state courts, and neither party shall be required to arbitrate any claims. Any claims not filed shall be resolved in federal or state courts in accordance with these Terms of Use.

10.2 Applicable Law. These Terms of Use and the relationship between you and us shall be governed by the laws of the United States and the State of Delaware, without regard to its conflicts of law provisions. You agree that the U.N. Convention on Contracts for the International Sale of Goods does not apply. You are responsible for complying with local laws, if applicable.

10.3 Jurisdiction and Venue. Any action or proceeding arising from these Terms of Use shall be brought exclusively in the federal or state courts located in Delaware, and you irrevocably consent to the personal jurisdiction of such courts.

11. ADDITIONAL TERMS

11.1 Notice for California Users. Under California Civil Code Section 1789.3, California users are entitled to consumer rights notice. You may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at the address or telephone numbers listed in applicable laws.

11.2 No Waiver. No failure or delay by us in exercising any right shall operate as a waiver thereof.

11.3 Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

11.4 Entire Agreement. These Terms of Use represent the entire understanding regarding the subject matter and supersede all prior agreements. Paragraph titles are for convenience only.

11.5 Assignment. These Terms of Use are binding upon and inure to the benefit of the parties and their respective successors and assigns. You shall not assign your rights or obligations without our prior written consent.

11.6 Electronic Notice. You consent to receive notices electronically, which satisfy legal requirements for written communications.

11.7 Agent Designation. You hereby appoint us as your agent with authority to execute documents or take actions we deem appropriate to confirm the rights granted by you to us.

11.8 Survival. Sections that by their nature should survive termination will survive, including disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

12. SUPPLEMENTAL TERMS: SUBSCRIPTION SERVICES; CHARGES & FEES; AUTOMATIC RENEWAL AND PAYMENT METHOD; CANCELLATIONS AND REFUNDS; TRIAL PERIODS/PROMOTIONAL OFFERS

12.1 We may provide some of the Team Scout Services free of charge, while others require payment of subscription fees (monthly, annually, or otherwise) (“Subscription”). By registering for a Subscription, you agree to pay the applicable fees and abide by these Terms of Use and any additional terms.

12.2 Account. To purchase a Subscription, you must have a valid Team Scout account and a current, accepted payment method. If the information you provide is untrue or inaccurate, we may suspend or terminate your Account or Subscription.

12.3 Charges & Fees.

(a) Subscription Period. Your Subscription provides access for the indicated term (“Subscription Period”).

(b) Payment and Fees. You will be billed upfront for the Subscription Period, plus any applicable taxes. All fees are generally non-refundable unless required by law or stated in our Refund & Cancellation Policy. 

(c) Price Increases. We reserve the right to increase fees with reasonable advance notice, applied prospectively.

(d) Payment Method. You must maintain a valid payment method. If we cannot charge your method, we may suspend or terminate your access.

12.4 Automatic Renewal. Unless you cancel, your Subscription will automatically renew at the then-current price. By not canceling, you authorize us to charge your payment method for the next Subscription Period.

12.5 Cancellation & Refunds. You may cancel your Subscription at any time by contacting customer service at [Email] or via methods we may provide. Fees are non-refundable except as required by law or stated in our Refund & Cancellation Policy.

12.6 Trial Periods. If offered, Trial Periods allow temporary free access to certain Team Scout Subscription Services. If you do not cancel before the Trial Period ends, we may begin charging your payment method. You must cancel during the Trial Period to avoid charges. You may only have one Trial Period per Service unless otherwise stated.
